Please read these Terms of Service ("Terms") carefully before using the DarkPoolStockFlow website at darkpoolstockflow.com and the application at app.darkpoolstockflow.com (collectively, the "Service") operated by DarkPoolStockFlow ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

1. Description of Service

DarkPoolStockFlow provides a data intelligence platform that aggregates, processes, and displays off-exchange (dark pool) trade data reported to FINRA. The Service is intended for informational and educational purposes for individual traders and investors.

2. Not Financial Advice

The data and information provided through the Service is for informational purposes only and does not constitute financial, investment, trading, or any other form of professional advice. We are a data provider, not a financial advisor or broker-dealer.

Trading in securities involves significant risk, including the possible loss of the entire amount invested. Past performance of any trading strategy or indicator is not indicative of future results. You are solely responsible for your own investment decisions.

3. Eligibility

By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. The Service is intended for use only in jurisdictions where such data services are permitted.

4. Account Registration

To access the Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activity that occurs under your account

We reserve the right to terminate accounts that provide inaccurate information or violate these Terms.

5. Subscription and Billing

Access to the Service requires a paid subscription at $29.99 per month, following a 7-day free trial period. By starting a trial, you agree to be charged the monthly subscription fee after the trial period unless you cancel before the trial ends.

All billing is handled by Stripe. By subscribing, you authorize us to charge your payment method on a recurring monthly basis. Prices are subject to change with 30 days' notice.

6. Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation, your access will continue until the end of the current billing period. We do not provide refunds for partial billing periods.

If you cancel before the end of your free trial, you will not be charged.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations
• Scrape, crawl, or systematically download data from the Service
• Resell, redistribute, or sublicense the data or the Service to third parties
• Attempt to reverse engineer or circumvent any security features
• Use the Service in a manner that could damage, disable, or impair it
• Share your account credentials with others

8. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of DarkPoolStockFlow. You may not copy, modify, distribute, or create derivative works from our content without express written permission.

Underlying dark pool trade data is sourced from publicly available FINRA reporting and is provided under applicable data licensing terms.

9. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or timeliness of any data provided.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DARKPOOLSTOCKFLOW BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the three months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless DarkPoolStockFlow and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
